1. What FACTIONS is
FACTIONS is a collection of 4,444 digital collectibles ("NFTs") on Robinhood Chain. It is a work of parody and satire. The NFTs are art. They are sold as collectibles for entertainment and community membership, and for no other purpose.
2. No affiliation
FACTIONS is not affiliated with, endorsed by, sponsored by, or in any way officially connected to Tesla, Inc., NVIDIA Corporation, Robinhood Markets, Inc., any "CashCat" or "Tendies" project or brand, or any issuer of any security, token, or meme coin referenced by name, ticker, or theme anywhere in this collection. "TSLA" and "NVDA" are stock tickers of public companies; they and all related names appear here nominatively, as the subject of parody and commentary, which is their only use. All trademarks are the property of their respective owners. The collection's artwork contains no third-party logos.
3. Not an investment. Not a security.
FACTIONS NFTs are not securities, shares, equity, debt, derivatives, or any claim on any company, asset, revenue, or profit. Holding a FACTIONS NFT gives you no ownership, dividend, voting, information, or other rights in Tesla, NVIDIA, Robinhood, or any other entity. The "rewards" and "jackpot" mechanics distribute only fees paid by participants of this collection, according to fixed percentages (35% holder rewards / 35% daily jackpot / 30% operator) enforced by a published smart contract. They are not yield, interest, dividends, or investment returns, and no profit of any kind is promised or implied. Expect the market value of any NFT, and any rewards, to be volatile and possibly zero. Nothing on this site is an offer or solicitation to buy any security, or financial, legal, or tax advice.
4. The daily jackpot
Once per 24-hour round, the entire jackpot pool is awarded to the faction whose paired asset performed best that day, split equally across that faction's minted tokens. Which faction won is determined from publicly available end-of-day price data and posted on-chain by an oracle key, together with a hash of the data used, so anyone can check the call. The oracle can only choose which faction's holders receive the pot; it cannot redirect funds anywhere else. Jackpot mechanics may constitute a prize competition, sweepstake, or gambling in some jurisdictions and may be restricted or unavailable there. Participation is void where prohibited. You are solely responsible for determining whether your participation is lawful where you live. You must be 18 or older (or the age of majority in your jurisdiction).
5. On-chain is the record
The smart contracts, once deployed, are the entire agreement about funds: the treasury has no owner withdrawal function, mint payments and royalties split by fixed arithmetic, and claims are pull-payments to whoever holds the token. This website is a viewer. If this site and the chain ever disagree, the chain is right. Contract addresses are published on this site and verifiable at https://robinhoodchain.blockscout.com.
6. Licence to the art
Subject to lawful acquisition of the NFT, the holder receives a worldwide, royalty-free licence to use, copy, and display the art of their token for personal, non-commercial use, and for commercial use up to USD $100,000 gross revenue per year. The collection's names, marks, and site remain the operator's. Parodied third-party names remain their owners'.
7. Taxes, sanctions, eligibility
You are responsible for your own taxes on anything you receive. You may not participate if you are subject to sanctions or located in a comprehensively sanctioned jurisdiction, or where participation is unlawful.
8. No warranty; limitation of liability
Everything here (site, contracts, metadata, art) is provided "as is", without warranty of any kind. Smart contracts are experimental software; bugs, chain halts, oracle failures, and total loss are possible. To the maximum extent permitted by law, the operator's aggregate liability to you for any claim relating to FACTIONS is limited to the amount you paid to mint your NFTs, and the operator is not liable for indirect, incidental, special, consequential, or exemplary damages, or for lost profits.
9. Changes
These terms may be updated; the version at /legal governs from the moment it is posted. What is deployed on-chain cannot be changed, and section 5 always wins.
